Who can act as a domiciliation agent in Luxembourg?

In Luxembourg, company domiciliation is a regulated activity: only six professions may carry it out — a credit institution or other professional of the financial or insurance sector, an avocat à la Cour on list I, a European lawyer on list IV, a réviseur d’entreprises, an approved réviseur d’entreprises, and an expert-comptable. The list appears in article 1er (1) of the amended law of 31 May 1999 and it is closed: no other profession may act as a domiciliation agent unless added by grand-ducal regulation. An office operator, business centre or shared workspace that holds none of these six professions therefore cannot be your domiciliation agent, whatever the commercial packaging.

The six authorised professions
The law does not work by exclusion: it names the professions that are admitted, and only those. Here is the text as written. Luxembourg law is authoritative in French, so the provision is quoted in the original.

The classification does not depend on the word used in the contract. It depends on two conditions, both of which must be met.
« Lorsqu’une société établit auprès d’un tiers un siège pour y exercer une activité dans le cadre de son objet social et que ce tiers preste des services quelconques liés à cette activité, la société et ce tiers, appelé domiciliataire, sont tenus de conclure par écrit une convention dite de domiciliation. »- First condition: a company establishes a seat with a third party in order to carry out an activity falling within its corporate purpose.
- Second condition: that third party supplies services of any kind connected with that activity.
If both conditions are met, a written domiciliation agreement is mandatory and the third party must belong to one of the six professions. If the second is not met — the third party makes space available and supplies no service connected with the company’s activity — the arrangement falls outside this regime.
What the provider and the company risk
The penalties do not target the provider alone. They also reach the company that established its seat there.

The law itself sets aside certain situations — in particular a shareholder exercising significant influence, and companies belonging to the same group.

Yes, but through one specific route: a grand-ducal regulation adopted on the opinion of the Conseil d’État. Not through commercial practice, and not through an announcement on a website.

- Can a coworking space act as my domiciliation agent?
- Only if it is itself a registered member of one of the six professions listed in article 1er (1): credit institution or professional of the financial or insurance sector, avocat on list I, European lawyer on list IV, réviseur d’entreprises, approved réviseur d’entreprises, expert-comptable. A workspace operator holding none of these professions cannot act as a domiciliation agent.
- What does my company risk if its seat is established with an unauthorised agent?
- Failure to comply with article 1er (1) constitutes, on the part of the company, a serious breach of the law, exposing it to judicial dissolution or closure under articles 203 and 203-1 of the amended law of 10 August 1915 on commercial companies.
- Is a written agreement mandatory?
- Yes. As soon as both conditions of article 1er (1) are met, the company and the agent must conclude a written domiciliation agreement. Establishing a seat with an agent without concluding that written agreement is punishable by a fine of 1250 to 125000 euros.
- How long does the agent keep my documents?
- Documentation used to identify the members of the domiciled company’s governing bodies must be kept for at least 5 years after the end of the company’s relationship with those persons, without prejudice to longer periods prescribed by other laws.
What we do not publish
That since November 2023 every shared-workspace operator must hold an approval issued by the Luxembourg registration and VAT authority.
We found this claim on commercial pages but could not trace it to a text published in the Official Journal or to a page of the authority concerned. We therefore publish no rule on the matter.
That a minimum floor area per occupant is required for an address to be accepted as a seat.
No such numeric threshold appears in the texts we opened. We do not publish a figure we cannot source.
